Terms of Service

These terms of service ("Terms") govern your use of the LeanCore services provided by LeanCore Limited ("we", "our", "us"), a company registered in Zambia. By using our services, you agree to these Terms in full. If you do not agree, do not use our services.
1. Service Description
LeanCore provides intelligent team members that work on behalf of your business through WhatsApp and email. Our team members connect to your existing business systems to perform tasks including — but not limited to — customer communication, data processing, report generation, inventory management, and document handling.
We provide a white-glove setup service where our consultants connect your systems and configure your team members. Ongoing operation is delivered as a managed service.
2. Account Registration
To use our services, you must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must be at least 18 years of age and have the legal authority to bind your organisation to these Terms.
3. Acceptable Use
You agree to use our services only for lawful business purposes. You must not:
- Use our services for any illegal activity
- Attempt to gain unauthorised access to our systems or other users' data
- Transmit malicious code, spam, or harmful content through our services
- Use our services to harass, threaten, or defraud others
- Reverse-engineer, copy, or redistribute any part of our service
- Resell or sublicense access to our services without prior written consent
4. Your Data
You retain ownership of all data you provide to us or that is processed through our services ("Your Data"). We do not claim any ownership rights over Your Data.
You grant us a limited licence to access, process, and store Your Data solely for the purpose of providing our services to you. This licence terminates when your account is closed.
We handle Your Data in accordance with our Privacy Policy.
5. Service Availability
We strive to maintain high availability of our services, but we do not guarantee uninterrupted or error-free operation. We may occasionally need to perform maintenance, which may temporarily affect service availability. We will make reasonable efforts to notify you of planned maintenance in advance.
6. Fees and Payment
Service fees are agreed upon during your initial consultation and set out in your service agreement. All fees are billed in advance on a monthly or annual basis as specified. Late payments may result in suspension of services.
We reserve the right to adjust pricing with 30 days' written notice. You may cancel your subscription before the new pricing takes effect.
7. Quality Assurance
Your LeanCore team members include a built-in quality check. A supervising layer reviews work before it is sent to your customers, suppliers, or partners. While we strive for accuracy, we recommend that you review critical outputs — especially those with financial or legal implications — before acting on them.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability for any claim arising from or related to these Terms or our services shall not exceed the fees you paid to us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of business opportunity.
- We are not liable for any actions taken by your team members based on inaccurate data provided by your connected systems or by you.
9. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your breach of these Terms, or your violation of any applicable law.
10. Intellectual Property
All intellectual property rights in our services, including our technology, software, branding, and documentation, remain our exclusive property. These Terms do not grant you any rights to our intellectual property except the limited right to use our services as described herein.
11. Termination
Either party may terminate the service agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or engage in activity that threatens the security or integrity of our systems.
Upon termination, we will provide you with a copy of Your Data upon request, after which Your Data will be deleted within 30 days.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Your continued use of our services after the effective date constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Zambia. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Zambia.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and LeanCore regarding your use of our services.
